Establishment of a branch

CIF may consider provide their services abroad through establishment of a branch in the intended market or by providing services in that territory where authorised. The services and activities which the CIF is seeking to provide via its branch must be the same as those it is already authorised to provide by CySEC. In order to gain authorisation to establish the branch in the territory or another member state, the CIF must notify CySEC in written of its intention and provide the Commission with following information:

(a) The member state within the territory of which it plans to establish a branch;

(b) the address of the branch;

(c) the names of those responsible for the management of the branch, as well as its organisational structure;

(d) the programme of operations;

Tied agents based in other EEA countries

A tied agent is a person established in a Member State, who is acting under the full responsibility of only one Investment Firm.

Services offered by tied agents are:

• promoting of investment or/and ancillary services;
• attracting clients or prospective clients;
• receiving and sending orders in relation to the financial instruments of the company instruments;
• placing financial instruments and/or
• providing advices to clients or prospective clients in respect of those financial instruments or services.

A CIF remains fully and unconditionally responsible for any action of the tied agent when acting on its behalf.

Firms intending to use tied agents established in other EEA countries will have to submit two notifications, one to be granted a right of establishment passport to the country concerned and further notification to be granted the right to appoint a tied agent established there. An intention to appoint a tied agent in has to be communication to the Cyprus Securities and Exchange Commission before commencement of partnership between a CIF and the tied agent.
